Terms of Service

1. Acceptance of these Terms
By creating an account or using Surpriseflix (the “Service”), you agree to these Terms of Service and to our Privacy Notice, which is incorporated into these Terms by reference. If you don't agree, don't use the Service.
2. What the Service is
Surpriseflix lets you build a private, personalized, Netflix-style web experience (a “Surprise”) out of your own photos and videos, and share it with someone via a private link. Access to a Surprise you've activated with a paid plan lasts 30 days, plus a 7-day grace period, after which it is locked until renewed. Current plans:
- One Surprise — ₹199 one-time, 30 days of access, up to 20 videos.
- Bigger Surprise — ₹299 one-time, 30 days of access, up to 40 videos.
- A free, image-only preview mode is available to build and preview a Surprise before paying.
Plan prices, quotas, and features may change over time; the current terms are always shown on the pricing section of our homepage.
3. Eligibility
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account. You confirm this with a dedicated checkbox at signup, separate from agreeing to these Terms. This is a self-declaration, not independently verified — see Privacy Notice Section 13 for what this does and doesn't cover (it does not extend to the people a Surprise is built for or shared with, which remains an open item requiring a founder/legal decision).
4. Your account
- You're responsible for keeping your login credentials confidential and for all activity under your account.
- Provide accurate information when creating an account and keep it up to date.
- Notify us promptly if you become aware of unauthorized use of your account.
5. Your content
You keep ownership of the photos, videos, titles, and descriptions you upload (“Your Content”). By uploading it, you grant Surpriseflix a limited license to store, process, and display Your Content solely to provide the Service to you and the people you share your Surprise with.
You represent and warrant that:
- You own Your Content, or have the necessary rights and permissions to upload and share it.
- Your Content doesn't infringe anyone's intellectual property, privacy, or other rights.
- Where Your Content or the information you provide (including a recipient's email address) identifies another person, you have that person's permission to include and share it through the Service — our share flow asks you to confirm this explicitly (see Privacy Notice Section 6).
- You will not upload unlawful, abusive, or infringing content.
6. Data protection
We process personal data — yours and, where you provide it, a Surprise recipient's — as described in our Privacy Notice, and in accordance with the Digital Personal Data Protection Act, 2023 (India). By using the Service, you acknowledge you've read that notice. In particular:
- We act as the Data Fiduciary for personal data processed through the Service.
- Where you provide another person's personal data (e.g. a recipient's email), you act as the point of collection and are responsible for having their permission to share it with us — see Section 5 above.
- You can exercise your data-protection rights (access, correction, erasure, consent withdrawal, grievance) at any time via our data-rights request form.
- We retain personal data only as long as described in the Privacy Notice's retention section, including permanently deleting a lapsed Surprise's media on the schedule described there.
7. Payments
Payments are one-time (not a recurring subscription) and processed by Razorpay, a licensed Indian payment aggregator. We never receive or store your card, UPI, or bank details. A successful payment grants the access window and quota described in Section 2, starting from either your current time or, if you still have active access, extending it. 8. Third-party services
The Service relies on third-party infrastructure providers (authentication and database, hosting and object storage, payments, transactional email) described in our Privacy Notice. Your use of the Service is also subject to those providers' own applicable terms where you interact with them directly (e.g. entering payment details on Razorpay's checkout).
9. Prohibited uses
You agree not to:
- Use the Service for any unlawful purpose, or to harass, threaten, or defame anyone.
- Upload content you don't have the rights or permission to share.
- Attempt to bypass access controls, rate limits, or the password protection on a Surprise you don't own.
- Interfere with or disrupt the Service's infrastructure or attempt unauthorized access to another account.
- Use the Service to collect or harvest personal data about other users without consent.
10. Suspension and termination
We may suspend or terminate access to the Service for accounts that violate these Terms. You may stop using the Service at any time. Access to a Surprise that isn't renewed lapses on the schedule described in Section 2 and our Privacy Notice.
11. Disclaimers and limitation of liability
The Service is provided “as is” without warranties of any kind, to the maximum extent permitted by law. We are not liable for indirect, incidental, or consequential damages arising from your use of the Service, including loss of Your Content, to the maximum extent permitted by applicable law. [REQUIRES LEGAL REVIEW — standard liability caps/carve-outs should be added by counsel before this is relied on commercially].
12. Changes to these Terms
We may update these Terms from time to time; the “Last updated” date above will change accordingly. Continuing to use the Service after a change means you accept the updated Terms.
13. Governing law
These Terms are governed by the laws of India. Any dispute will be subject to the exclusive jurisdiction of the courts of [CONFIRM CITY/STATE].
